What Is Reliance?

Reliance is a legal principle involving a party's trust or dependence on certain representations or promises made by another party, typically in the context of contracts or negotiations. In contract law, it underpins the doctrine of promissory estoppel, which prevents a party from reneging on a promise even if a formal contract does not exist, provided the other party has relied on that promise to their detriment.

In tort law, reliance is a crucial element in cases of fraud or misrepresentation, where a party's reliance on false statements leads to financial or other losses.

In securities law, reliance is a critical factor in actions against issuers of securities and their intermediaries for misstatements or omissions in registration statements or prospectuses that lead investors to make decisions that result in losses.

Common Misconceptions About the Meaning of Reliance

A common misconception about reliance is that it always results in a right to compensation or remedial action.

While reliance is a key component in establishing certain types of legal claims, simply relying on a statement or promise is not enough to guarantee a remedy. The reliance must be reasonable, and there must be a clear link between the reliance and the harm suffered.

Another misconception is that reliance applies only to financial transactions or contractual agreements.

In reality, the principle of reliance can apply in a broad range of situations, including non-commercial and informal agreements, provided the essential elements of a reliance-based claim are met.
