Prepare the filing

Choose a compliant name. Search the Secretary of State’s business registration records to screen for conflicts. Search results are helpful, but final acceptance occurs through the filing review. Check the current form and North Carolina LLC Act for the name requirements.

Select a registered agent and office. Every North Carolina LLC must maintain a registered office and eligible registered agent in the state. An individual agent must reside in North Carolina, and the agent’s business office must be identical to the registered office. A qualifying business entity may also serve. N.C. Gen. Stat. § 55D-30. Use the address fields requested on the current L-01 form rather than assuming a mailing-only address will satisfy the registered-office field.

Identify the organizer and other requested information. The L-01 form and instructions control the required signatures, addresses, and any optional provisions. An organizer files the document; do not assume the organizer automatically becomes an LLC member. Check every entry against the intended ownership and operating plan before submission.

Submit and budget for the correct fee

The state’s general business registration fee page also describes electronic payment charges and optional expedited review: an additional $100 for 24-hour review or $200 for same-day review when the filing and timing conditions are met. Keep the submission confirmation, then verify the Secretary of State filed the Articles. Do not present the LLC as approved merely because the payment was accepted. If the filing is rejected, follow the state’s correction instructions.

After the Articles are filed

The Articles create the entity; other steps depend on the business.
